Terms of Service

1. Acceptance of Terms

By accessing or using Prime Marketplace or Prime Network (collectively, the “Platform”), operated by Prime Container Network LLC (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

2. Definitions

  • Consumer — an individual or entity purchasing containers through the Platform.
  • Dealer — a container seller who lists inventory on the Platform under a paid subscription.
  • Partner — a delivery carrier or service provider in Prime Network.
  • Order — a binding purchase transaction between a Consumer and a Dealer facilitated by the Platform.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your login credentials. You must be at least 18 years old to use the Platform. Business accounts must be registered by an authorized representative of the business entity.

4. Dealer Subscriptions

Dealers use the Platform under one of our published tiers (Free, Growth, or Pro). Paid tiers are billed monthly via Stripe; the Free tier carries a per-sale verified-buyer fee in lieu of a subscription. You may cancel a paid subscription at any time; access continues through the end of the current billing period. We reserve the right to modify pricing with 30 days’ written notice. Failure to maintain an active plan may result in delisting of your inventory from the public marketplace.

5. Marketplace Conduct

Dealers must accurately represent the condition, type, dimensions, and pricing of listed containers. Fraudulent, misleading, or deceptive listings are prohibited and may result in immediate account suspension. Consumers agree to complete payment for confirmed orders. Both parties agree to act in good faith throughout the transaction process.

6. Orders & Payments

All payments are processed through Stripe. The Platform charges a service fee on each transaction, disclosed at checkout. Once an order is confirmed and payment is collected, the transaction is binding. Refunds and cancellations are subject to our Refund Policy and the individual dealer’s return policy as displayed on their listing.

7. Delivery

Delivery estimates provided at checkout are estimates only. Actual delivery timelines depend on carrier availability, route distance, and scheduling. The Platform facilitates delivery coordination but is not the carrier of record. Risk of loss transfers to the buyer upon carrier pickup from the dealer yard. Delivery fees are non-refundable once a carrier has been dispatched.

8. Warranties

Optional warranty coverage may be purchased at checkout. Warranty terms, coverage limits, and claim procedures are described in the warranty certificate provided after purchase. Warranties are non-transferable and subject to the exclusions listed in the warranty documentation.

9. Trade Credit

Approved dealers may access trade credit for wholesale purchases. Trade credit terms, limits, and repayment schedules are governed by the Trade Credit Agreement executed at activation. Late payments may incur fees and affect future credit availability.

10. Intellectual Property

All Platform content, design, and technology are owned by Prime Container Network LLC. You may not copy, modify, distribute, or reverse-engineer any part of the Platform. Dealers retain ownership of their listing content (photos, descriptions) but grant us a non-exclusive license to display it on the Platform.

11. Limitation of Liability

The Platform is a marketplace facilitating transactions between buyers and sellers. We are not a party to the sale and do not take title to containers. To the maximum extent permitted by law, our total liability for any claim arising from your use of the Platform shall not exceed the fees you paid to us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Dispute Resolution

Any disputes between Consumers and Dealers should first be raised through the Platform’s dispute resolution process. If not resolved, disputes shall be settled by binding arbitration under the rules of the American Arbitration Association, held in the state of Texas. Class action waivers apply.

13. Termination

We may suspend or terminate your account for violations of these Terms, fraudulent activity, or non-payment. You may delete your account at any time. Outstanding financial obligations survive termination.

14. Modifications

We may update these Terms at any time. Material changes will be communicated via email or Platform notification at least 14 days in advance. Continued use after the effective date constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
